These Terms of Use form a binding agreement between you and Winnie’s School of Excellence. By accessing or using our websites, store, courses, memberships, or events, you agree to these Terms. If you do not agree, do not use our services.

We model these Terms on widely used standards for educational and personal development platforms, including arbitration and clear content licensing, adapted for Nigeria.

1) Services and scope

WSE provides learning experiences, memberships, webinars, coaching, communities, and an online store for physical and digital products. Certain features require registration, payment, and a compatible device and internet connection.

2) Eligibility and accounts

You must be able to form a binding contract. Keep your credentials secure, and notify us promptly of any unauthorized use. You are responsible for all activity through your account.

For programs directed at minors, a parent or legal guardian must complete enrollment and supervise use.

3) Acceptable use

You agree not to:

  • Interfere with or disrupt the platform or networks.
  • Circumvent access or security controls.
  • Share, resell, or publicly display course content, replays, or downloads unless the product page explicitly allows it.
  • Post unlawful, threatening, harassing, defamatory, or discriminatory content.
  • Impersonate another person, cheat on assessments, or submit work that is not your own.
  • Data mine or scrape the site without written permission.

We may remove content, suspend features, or terminate accounts to protect the community and comply with law.

4) Educational content license

When you purchase a course, membership, ticket, or digital product, WSE grants you a limited, non-exclusive, non-transferable license to access the content for your personal, non-commercial use during the stated access window. Unless expressly permitted on a product page, you may not record, copy, redistribute, or publicly perform the content.

5) User content and testimonials

You retain ownership of content you submit, such as assignments, posts, and chat messages. You grant WSE a worldwide license to host, store, reproduce, adapt for formatting, display, and distribute your content as needed to operate the services, enforce policies, showcase learning outcomes, and improve the platform. We will request consent before using your name or identifiable statements as public testimonials.

6) Purchases, subscriptions, pricing, and taxes

Prices may change from time to time. Taxes and fees may apply based on your location and product type. Subscriptions renew automatically until you cancel as described at checkout and in your account. Our Refund Policy is part of these Terms.

7) Payments

You authorize our payment processors to charge your chosen payment method for purchases and renewals. WSE does not store full card numbers. Our processors maintain independent PCI DSS Level 1 certifications. Paystack

8) Communications and DND

By providing your contact details, you agree to receive service messages and, where permitted, marketing communications. You can opt out of marketing emails at any time by using the unsubscribe link. For mobile messaging in Nigeria, you may use the Do-Not-Disturb (DND) 2442 service offered by the Nigerian Communications Commission to manage unsolicited third-party messaging. 9) Third-party links and tools

We may link to or integrate with third-party platforms, video hosts, conferencing tools, and payment gateways. WSE is not responsible for third-party content or practices. Your use of third-party tools is governed by their respective terms and policies.

10) Intellectual property

All WSE trademarks, logos, graphics, text, videos, images, audio, and software are protected by law and remain the property of WSE or its licensors. You may not copy, modify, or create derivative works except as allowed by these Terms or by written permission.

Copyright concerns: If you believe your work has been used in a way that constitutes infringement, email winniesschoolofexcellence@gmail.com with: your contact details, a description of the copyrighted work, the URL of the material you believe is infringing, and a statement that you have a good-faith belief the use is not authorized.

11) No professional advice

Our content is for educational purposes. We do not provide medical, psychological, legal, tax, or investment advice. Results vary with individual effort and circumstances.

12) Disclaimers

The services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, WSE disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13) Limitation of liability

To the fullest extent permitted by law, WSE will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill. In all cases, our total liability for any claim will not exceed the amount you paid to WSE for the service during the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some statements may not apply to you.

14) Indemnification

You agree to indemnify and hold harmless WSE, its officers, employees, instructors, and partners from claims, damages, losses, and expenses, including reasonable legal fees, arising from your use of the services, your content, or your violation of these Terms or applicable law.

15) Privacy

Our Privacy Policy explains how we collect and use personal data. By using the services, you agree to the Privacy Policy.

16) Suspension and termination

We may suspend or terminate access if you breach these Terms, misuse the services, fail to pay, or if required by law or a court. Sections that by their nature should survive termination will continue to apply.

17) Governing law and dispute resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first attempt to resolve any dispute through good-faith negotiation. If not resolved within thirty days, the dispute will be finally resolved by confidential arbitration seated in Lagos, administered under the Arbitration and Mediation Act of Nigeria, before one arbitrator, in English. Either party may seek interim relief in a court of competent jurisdiction to protect rights pending arbitration. This structure mirrors common approaches used by global personal development platforms to resolve disputes efficiently.

18) Force majeure

WSE is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, power or internet outages, government action, and public health emergencies.

19) Changes to the services and to these Terms

We may update services and these Terms to reflect new features, business needs, or legal requirements. Material changes will be communicated by posting an update and adjusting the Effective Date.

20) Miscellaneous

  • Entire agreement: these Terms, the Privacy Policy, and the Refund Policy form the entire agreement.
  • Severability: if any provision is unenforceable, the rest remains in effect.
  • No waiver: a failure to enforce a right is not a waiver.
  • Assignment: you may not assign your rights without our written consent. We may assign as part of a restructuring or sale.
